Confidentiality Agreement
For
the purpose of protecting the value and goodwill of a business as a
going concern, the sale should be a confidential process. Such
confidentiality will ensure successful transition of business to new
owner. For California Restaurant Sales and Solutions, known as CRSS, to
release sensitive business information on behalf of the Seller the
Buyer must first agree to the following terms:
- Any information provided
about a business shall be used for the purpose of evaluating a
business for possible purchase.
- Any such information
released by us or facts regarding the business’ availability for
purchase cannot be shared with any third party, including
advisors, friends or relatives
- You will not make or
distribute copies of documents provided by us
- Unless otherwise stated,
you acknowledge that you first learned of the business’
availability through CRSS
- You agree never to
directly contact the owners, employees, landlord, suppliers,
customers or neighboring tenants without CRSS absolute consent
To
breach this Confidentiality Agreement could result in damages to a business.
If you are found responsible, you may be liable for losses incurred.
Dual Agency
When
CRSS list a business for sale it becomes the agent for the Seller. CRSS
usually works with the buyer too, and by this relationship it also
becomes the buyers agent. This creates a dual
agency whereby CRSS represents both parties.
Disclaimer
The
Seller provides information released, regarding his or her business,
which has not been verified or audited by CRSS. Past financial
statements and future projections are for the purpose of reference and
do not guarantee future sales or profitability. The period of “Due
Diligence”, a standard condition of sale, will give you the opportunity
and responsibility to verify all information you are relying on. CRSS
will offer their opinion as to the value of the business but you must
rely on your own opinion as to its worth and potential.
